Terms of Service

Who we are and what these Terms cover

Load Watcher (the browser extension, the website loadwatcher.io and the company cabinet at api.loadwatcher.app, together the “Service”) is provided by AAP Logistics Group Inc., an Illinois corporation (“we”, “us”). These Terms are a contract between us and you. By installing the extension, creating an account or paying for a subscription, you accept them. If you use the Service for a company, you confirm that you may accept these Terms on its behalf.

Who may use the Service

You must be at least 18 years old and able to enter into a binding contract. The Service is a business tool for freight dispatchers and carriers; it is not intended for consumers or for anyone under 18.

What this service is

Load Watcher is a Chrome extension for freight dispatchers. It works with the load boards you already use with your own account (such as DAT One or Truckstop), shows you the loads that fit your criteria, calculates trip economics, and — on Ultra — reaches out to the broker on your behalf: it calls through your GoTo Connect, RingCentral or 3CX account or sends an email from your Gmail.

We are not a broker, a carrier, or a dispatch service and we are not a party to your deals. The decision to take a load is always yours.

Subscription and billing

  • Plans, per user (seat): Pro — $9.99/mo: the manual toolset on the load board, no lanes. Ultra — $99.99/mo: up to 10 lanes, automatic calls and emails to the broker, highlighting of matching loads and preferred brokers.
  • Paid a year ahead: Pro — $107.88/yr ($8.99/mo), Ultra — $1,079.88/yr ($89.99/mo).
  • Company: 2 seats or more, with a volume discount counted separately for each plan by the number of seats on it — 5% for 2–4 seats, 10% for 5–9, 15% for 10–14, 20% for 15 and more; paying a year ahead takes another 10% off. The company cabinet shows the exact total before you pay.
  • Free trial. The first 14 days are free, once per person. We recognise a person by their email address (variants of the same mailbox count as one) and the device the extension is installed on; a personal and a company subscription share the free trial. If either has already had a free trial, there is none. While a company is in its free trial, the seat of a person who has already had one starts working with the company's first payment. Your card is taken when the trial starts. Unless you cancel before the trial ends, your card is charged the price of your plan on the day the trial ends.
  • Automatic renewal. Your subscription renews automatically — every month, or every year if that is the billing period you chose — and your card is charged the price of your plan at the start of each period, until you cancel. Before you pay, the checkout page shows the price and asks you to confirm that you agree to the automatic renewal.
  • Emails we send. Right after you subscribe we email you a confirmation with these terms, the price and how to cancel. We also email you a reminder at least 7 days before your free trial ends and at least 7 days before each yearly renewal.
  • How to cancel — at any time:
    • online, in the extension, under Manage subscription, or — for company owners — in the company cabinet, under Card and invoices;
    • by email: write to support@loadwatcher.io from the email address of your account and ask to cancel. We cancel the subscription and confirm by email, normally within one business day.
    Cancelling stops all future charges. Access lasts through the end of the period already paid for; cancelling during the free trial means you are never charged.
  • Refunds. Except where the law requires otherwise, payments for a period that has started are not refunded. If you believe you were charged in error, write to support@loadwatcher.io and we will review it.
  • Price changes. If we change the price of your plan, we tell you by email at least 30 days before the change applies to you. The new price applies from your next billing period; you can cancel before it does.
  • Payments are processed by Stripe. We never see or store your card details.
  • Without an active subscription the extension switches to view-only mode: your settings stay visible, but no calls or emails go out.

Account and device

An account is your email, bound to a single install of the extension. There are no passwords: the device binding is the lock. The same email won't work from another computer — support handles transfers, and your subscription, settings, and history move along with the account. You are responsible for activity under your account and for keeping your device secure.

Load boards and other third-party services

  • Load Watcher is not affiliated with, endorsed or sponsored by DAT Solutions, LLC (DAT) or Truckstop.com, Inc. (Truckstop). DAT, DAT One and Truckstop are trademarks of their respective owners and are named here only to describe compatibility.
  • The Service requires your own accounts: a load board subscription (such as DAT One or Truckstop) for loads, Gmail for email, and GoTo Connect, RingCentral or 3CX for calls.
  • You are solely responsible for complying with the terms of service of DAT, Truckstop and every other service you use with Load Watcher, including any rules they set on how their data may be accessed or used. We do not grant you any rights to their services or data.
  • Their availability, data and rules are controlled by those services. If a third party changes its service, restricts your account or stops working with Load Watcher, some features may stop working; we are not responsible for that.

Calls and emails to brokers

Calls and emails that Load Watcher places for you are made from your own phone and email accounts, in your name. You are the caller and the sender, and you are responsible for complying with the laws that apply to them — including the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act — and for honoring any request from a broker not to be contacted (the extension lets you ignore a broker).

Acceptable use

You agree not to:

  • use the Service for anything illegal, fraudulent or harmful;
  • send spam, or misuse automatic calls or emails — for example, contacting people who asked not to be contacted, or contacting brokers about loads you cannot actually haul;
  • circumvent or try to circumvent the Service's security, subscription checks, plan limits or device binding;
  • use another person's account or device, or share your account outside your own seat;
  • copy, resell, sublicense or rent the Service, or reverse engineer, decompile or disassemble it, except to the extent applicable law expressly permits this despite this restriction;
  • interfere with the Service or its infrastructure, or use it to violate the rights or terms of service of others.

We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service, other users or third parties. Where reasonable, we tell you first and give you a chance to fix the problem. You may stop using the Service and cancel at any time.

Your data

We do not sell your data. We share it only with the providers that run the Service. What we collect, why, who receives it, how long it is kept and how to get it deleted is described in our Privacy Policy, which is part of these Terms.

Intellectual Property

Load Watcher, including its underlying methods, source code, matching logic, and user interface, is proprietary technology of AAP Logistics Group Inc. protected under applicable copyright and trade secret law. Unauthorized copying, reverse engineering, replication of our matching logic, or use of substantially similar functionality by any third party is strictly prohibited. We actively monitor the market and will pursue all available legal remedies, including litigation for copyright or trade secret infringement, against any individual or entity found to be infringing on our intellectual property.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

In particular, we do not guarantee that: loads will be available or that you will book any particular load; you will reach any level of gross revenue, rate per mile or profit; the extension will catch every matching load; load, broker, toll, fuel or route data is accurate or complete (it comes from load boards, brokers and other third parties); DAT, Truckstop, Gmail, your phone provider or any other third-party service will be available or keep working with Load Watcher; or the Service will be uninterrupted or error-free.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST LOADS OR LOST BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE — FOR EXAMPLE, A LOAD MISSED BECAUSE OF A FAILURE, OR A CALL OR EMAIL SENT IN ERROR.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain of these limitations; in that case they apply to the extent the law allows.

Indemnification

You agree to defend, indemnify and hold harmless AAP Logistics Group Inc. from claims, losses and costs (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law (including the TCPA and CAN-SPAM), or your breach of the terms of DAT, Truckstop or any other third-party service you use with Load Watcher.

Changes to these Terms

We may update these Terms. The current version is always at loadwatcher.io/terms, with its date at the top. If a change materially affects your rights or your payments, we tell you by email or in the extension at least 14 days before it takes effect. If you keep using the Service after the change takes effect, you accept the updated Terms; if you do not agree, cancel before then.

Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Illinois, and you and we consent to the personal jurisdiction of those courts. Before filing a claim, please write to support@loadwatcher.io — most issues can be resolved quickly that way.

General

  • Severability. If a court finds any provision of these Terms invalid or unenforceable, that provision is enforced to the maximum extent permitted and the rest of these Terms remain in full force.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
  • Assignment. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of the Service.
  • Language. These Terms are also available in Ukrainian and Russian for convenience; if versions differ, the English version prevails.

Notices

We send notices to the email address of your account (for a company, the owner's email); a notice is received when sent. Send legal notices to us at support@loadwatcher.io with “Legal notice” in the subject line, or by mail to AAP Logistics Group Inc., 1874 Grove Ave, Schaumburg, IL 60193, USA.
